1. Acceptance of Terms

By engaging Ironwood Peak Travel Management ("Company," "we," "us," or "our") for travel services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. These terms govern all travel services provided by Ironwood Peak, including but not limited to travel planning, booking, consultation, and concierge services.

Important Notice

Ironwood Peak acts as an intermediary between you and travel suppliers (airlines, hotels, car rental companies, tour operators, etc.). We are not responsible for the acts, errors, omissions, representations, warranties, breaches, or negligence of any such suppliers.

2. Definitions

Key Terms

Travel Services
Includes travel consultation, itinerary planning, booking services, vendor coordination, and travel management as described in our service agreements.
Supplier
Third-party providers including airlines, hotels, tour operators, car rental companies, cruise lines, and other travel service providers.
Service Fees
Fees charged by Ironwood Peak for our professional services, separate from supplier costs.
Force Majeure
Unforeseeable circumstances that prevent someone from fulfilling a contract, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or supplier bankruptcies.

3. Service Scope & Limitations

Our services include but are not limited to:

  • Travel consultation and itinerary planning
  • Booking of flights, accommodations, transportation, and activities
  • Coordination with travel suppliers
  • Travel document review and visa assistance
  • 24/7 emergency support for booked travel
  • Corporate travel program management

Service Limitations

We do not guarantee availability of any specific travel service, price, or supplier. All bookings are subject to supplier availability, terms, and conditions. We are not responsible for changes made by suppliers, including but not limited to schedule changes, cancellations, or price adjustments.

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete personal information required for travel bookings
  • Review all travel documents, itineraries, and supplier terms before departure
  • Maintain valid travel documents (passports, visas, etc.) for the duration of travel
  • Carry adequate travel insurance for your specific needs
  • Comply with all supplier terms, conditions, and policies
  • Make timely payments as outlined in service agreements
  • Notify us immediately of any changes to your travel plans or contact information

5. Fees & Payment Terms

Our fee structure is as follows:

  • Service Fees: Charged for our professional services, payable as outlined in service agreements
  • Supplier Costs: Actual costs charged by travel suppliers, payable to suppliers or through us as arranged
  • Deposits: Required to initiate services and secure bookings
  • Payment Schedule: Specified in individual service agreements

Payment Policy

All payments are due according to agreed schedules. Late payments may result in service suspension, booking cancellations, or additional fees. Service fees are non-refundable once services have been rendered.

6. Cancellations & Changes

Cancellation and change policies are governed by:

  • Supplier Policies: All bookings are subject to supplier cancellation and change policies
  • Our Service Fees: Service fees are non-refundable once services have been provided
  • Cancellation Requests: Must be made in writing and are subject to supplier approval
  • Refund Processing: May take 30-90 days depending on supplier policies

7. Travel Documents & Requirements

You are solely responsible for:

  • Ensuring all travel documents (passports, visas, health certificates) are valid
  • Meeting entry requirements for all destinations on your itinerary
  • Carrying proof of vaccinations or medical clearances if required
  • Maintaining travel insurance with adequate coverage

We provide advisory services regarding travel requirements but cannot guarantee entry to any destination.

8. Liability Limitations

Ironwood Peak's liability is limited as follows:

  • We are not liable for acts, errors, or omissions of travel suppliers
  • Our maximum liability for any claim is limited to the amount of service fees paid
  • We are not liable for consequential, incidental, or punitive damages
  • Force majeure events are beyond our control and not covered by our liability
  • Travel insurance is strongly recommended to protect against unforeseen events

9. Dispute Resolution

Any disputes arising from these terms shall be resolved as follows:

  • Negotiation: Parties agree to attempt good faith negotiation for 30 days
  • Mediation: If negotiation fails, parties agree to mediation in Kansas City, MO
  • Governing Law: These terms are governed by Missouri law
  • Jurisdiction: Any legal proceedings shall be in Jackson County, Missouri
  • Class Action Waiver: You waive any right to participate in class actions

10. Modifications & Updates

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to current clients via email. Continued use of our services after modifications constitutes acceptance of the updated terms. The most current version is always available on our website.
